Terms of Service

These Terms of Service (the “Terms”) are entered into by and between you and Thrindex (“Thrindex”, “we”, “us,” or “our”), based in Athens, Greece. They govern your access to and use of thrindex.com and any related websites, waitlists, newsletters, and documentation we publish from that domain (collectively, the “Site”).

Please read these Terms carefully. By accessing or using the Site, you agree to them. If you do not agree, do not use the Site.

These Terms should be read together with our Privacy Policy. Personal data is handled as described there.

1. Who we are

Thrindex is based in Athens, Greece.

2. What these Terms cover - and what they do not

Thrindex provides three distinct things. They are licensed differently.

The Site. Marketing pages, documentation links, newsletter, and Platform waitlist on thrindex.com. These Terms apply.

The SDK. The open-source toolchain published as thrindex (including the Python package, compiler, simulator, templates, and conformance materials in the public repository). Use of the SDK is governed by the Apache License, Version 2.0, as published with that code. These Terms do not replace, narrow, or expand Apache-2.0. If there is a conflict about the SDK source code, Apache-2.0 controls.

The Platform (Console). The commercial product for verifying, signing, deploying, and monitoring .thx artifacts. It is proprietary. It is not Apache-2.0. Access is licensed under a separate written agreement. Joining the waitlist, reading the Site, or installing the SDK does not grant a Platform license.

Using the Site does not create a customer relationship, a deployment right, or a support obligation.

3. Eligibility

You must be at least 18 years old and able to form a binding contract. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

4. The Site

The Site is provided for information. Content may change without notice. We may suspend or discontinue any part of the Site at any time.

Third-party links (including GitHub, PyPI, and docs.thrindex.com) are provided for convenience. Their own terms apply there. We are not responsible for third-party sites.

You may not:

  • scrape, overload, or interfere with the Site in a way that harms its operation

  • attempt to access non-public systems, accounts, or infrastructure

  • misrepresent an affiliation with Thrindex

  • use the Site to send unlawful, deceptive, or unsolicited bulk communications

5. Newsletter and Platform waitlist

If you subscribe to the newsletter or join the Platform waitlist, you agree that we may contact you at the address you submitted for that purpose, as described in the Privacy Policy.

Waitlist status is discretionary. We may accept, refuse, delay, or close waitlist access without obligation. A waitlist confirmation is not a license, a quote, an SLA, or a commitment to provide the Platform, silicon support, or any future feature.

You may withdraw by writing to hello@thrindex.com, or by using an unsubscribe link where one is provided.

6. The SDK

The SDK is licensed Apache-2.0. That license is the contract for the code: use, modification, distribution, patent grant, warranty disclaimer, and limitation of liability as Apache-2.0 states them.

In plain terms, and without limiting Apache-2.0:

  • You may use the SDK, including commercially, subject to that license.

  • You must retain required notices when you redistribute.

  • The SDK is provided AS IS, without warranties of any kind, as Apache-2.0 provides.

  • Thrindex has no obligation under these Terms to support, maintain, or continue any SDK release.

The SDK includes authoring APIs, a compiler that emits a sealed .thx artifact, a software simulator, and related tooling. A .thx file produced by the SDK is your artifact. Compiling a model does not transfer ownership of your model or weights to Thrindex.

The SDK does not, by itself, grant rights to the Platform, to any closed optimization work, or to any non-public backend.

7. The Platform

The Platform is a commercial, typically self-hosted system for the lifecycle of a .thx artifact after it is ready to ship: verification, signing, deployment to connected devices, and monitoring, as described in the then-current product documentation.

The Platform:

  • does not train models

  • does not replace your obligation to validate models for your own use case, data, and hardware

  • does not run your inference workload in Thrindex’s cloud as a substitute for the device

  • is not a substitute for a safety case, certification, or legal approval required in your industry

When you are granted access, a separate Platform license (or order form) will control: grant of rights, restrictions, fees, support, data processing, term, and termination. If that agreement conflicts with these Terms on Platform use, the Platform license controls.

Until that agreement is in force, you have no right to install, copy, or use the Platform software.

8. Accounts, credentials, and your responsibilities (Platform)

If we later issue you Platform access, you are responsible for:

  • the accuracy of account information

  • keeping credentials, session tokens, and signing keys under your control

  • use of the Platform by anyone you authorize, including your organization’s users

  • models, artifacts, and deployments you upload or instruct the Platform to process

  • configuring and operating any self-hosted instance, including backups, network exposure, and access control

You must not share accounts, bypass role or org isolation, disable or circumvent audit, verification, or signature checks, or use the Platform to sign or deploy artifacts you are not authorized to ship.

9. Your models, artifacts, and data

You retain ownership of your models, weights, datasets, .thx artifacts, and telemetry that you create or provide.

By submitting material through the Site (for example a waitlist or contact form), you grant Thrindex a limited license to use that material solely to respond and to operate the requested function.

We do not claim ownership of your neural networks. We do not license your models to others. The SDK and Platform are toolchain and lifecycle software, not a model marketplace.

You represent that you have the rights to any material you submit or process, and that doing so does not violate law or third-party rights.

10. Intellectual property

Thrindex and its licensors own the Site, the Platform software, Thrindex trademarks, and Thrindex documentation, except for Apache-2.0 SDK materials and third-party components.

You may not use “Thrindex” or our marks in a way that implies partnership, certification, or endorsement without our prior written consent. Passing a conformance check, producing a .thx artifact, or appearing on a waitlist is not a Thrindex certification of your product.

Feedback you send may be used to improve the Site, SDK, and Platform without obligation to you.

11. Hardware, backends, and third-party chips

Neuromorphic chips, SDKs, and runtimes from third parties (including chip vendors) are governed by those vendors’ terms. Thrindex is not those vendors.

A documented or experimental backend does not mean every model, layer type, or parameter set will run on that hardware. Unsupported operators may be rejected. Availability of a target may change.

You are responsible for obtaining any hardware, vendor licenses, and export authorizations you need.

12. No warranty

To the maximum extent permitted by applicable law:

The Site is provided AS IS and AS AVAILABLE. We do not warrant that it will be uninterrupted, error-free, or current.

Documentation, tutorials, screenshots, committed benchmark numbers, energy figures, conformance envelopes, and example transcripts are informational. They are not a warranty that you will obtain the same accuracy, latency, energy, or behavior on your data, your model, or your chip.

Energy figures printed by the SDK are a model (synaptic operations × a coefficient), not a measurement of a physical device, unless a document expressly states otherwise.

The simulator is a software reference. Byte-identical rasters on the simulator are not a warranty of identical behavior on silicon.

Verification or a cryptographic signature, when the Platform is licensed to you, attests that stated checks were run against the artifact under the conditions of that product version. It is not a warranty of fitness for a drone, satellite, weapon, medical device, or any particular deployment. You remain responsible for whether an artifact is safe, lawful, and appropriate to ship.

Mandatory Greek and EU law is not excluded. Where a warranty cannot be disclaimed, it is limited to the minimum required by that law.

13. High-risk use

The SDK and Platform may be used in research, industrial, and other contexts. They are not designed or warranted as the sole control system for applications where failure could reasonably be expected to cause death, personal injury, or severe environmental or physical damage, unless you have independently validated the system and accepted that risk under a written agreement that says so.

You must not use Thrindex software to violate applicable law, including export control, sanctions, or surveillance law that applies to you.

14. Limitation of liability

Nothing in these Terms limits liability that cannot be limited under Greek law, including liability for willful misconduct or gross negligence, or for death or personal injury caused by negligence where such limitation is prohibited.

Subject to that:

  • Thrindex is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, lost artifacts, failed deployments, or procurement of substitute software, even if advised of the possibility.

  • Thrindex’s total liability arising out of the Site or these Terms is limited to one hundred euros (€100), or the amount you paid us for the Site function that gave rise to the claim (if any) in the twelve months before the claim, whichever is greater.

Apache-2.0 governs liability for the SDK. A Platform license, if any, may set a different cap for licensed Platform use.

15. Indemnity

You will defend and indemnify Thrindex against claims arising from: your models or data; your deployments; your misuse of the Site, SDK, or Platform; or your violation of these Terms or applicable law, except to the extent caused by Thrindex’s willful misconduct or gross negligence.

16. Export and government use

You are responsible for compliance with export, re-export, and sanctions rules that apply to you, your artifacts, and your devices. You represent that you are not prohibited from receiving software under applicable EU, Greek, or other law that binds you.

If you are a government or public body, additional procurement terms may be required before any Platform license.

17. Termination

You may stop using the Site at any time. We may suspend or terminate Site access if you materially breach these Terms or if we discontinue the Site.

Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) survive termination.

SDK use after you obtain the code remains subject to Apache-2.0 for as long as that license applies to your copy.

18. Changes

We may update these Terms by posting a revised version on this page and changing the “Last updated” date. Continued use of the Site after the effective date constitutes acceptance. If you do not agree, stop using the Site.

Material changes that affect a paid Platform license are governed by that license, not by a unilateral Site posting.

19. Governing law and disputes

These Terms are governed by the laws of Greece, excluding conflict-of-law rules.

The courts of Athens, Greece, have exclusive jurisdiction, except that:

  • if you are a consumer resident in the EU, you may also bring proceedings in your country of residence where mandatory law gives you that right; and

  • nothing prevents either party from seeking interim relief in any court of competent jurisdiction.

20. General

If a provision is held unenforceable, the remainder stays in effect. These Terms are the entire agreement for use of the Site. They do not create a partnership, agency, or employment relationship. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale of assets. Failure to enforce a provision is not a waiver.
